I agree, but if you've already got ArcGIS 9.2, I'd do a file geodatabase
instead of personal (Access) geodatabase. Feel free to email me
individually for more information about why I think the file geodatabase
is so cool.

I would just abandon the whole shapefile format and go straight from a
coverage to a personal geodatabase. That way your annotation will
convert over.

Subject: [OKGIS] PC ARC INFO to ARCGIS
Hello!
We are looking to convert our data from PC ARC INFO coverages to
Shapefiles to be compatible with ARCGIS 9.2.
Is there anyway for us to convert our annotation to a shapefile?
I have tried and it comes back as lines.
Any suggestions would be appreciated.
Respectfully,
